CLAIM PREVENTION SUGGESTIONS
o Carefully analyze and consider exactly what you are building and precisely how it will be built .
o Complete the project design before the contract is bid.
o Conduct a thorough review of the design prior to the bid stage.
o Give bidders sufficient time to carry out a complete review of the bid package and an investigation of the construction site.
o Allow enough construction time, remember in this context, time is not money.
o Identify with enough anticipation what type of contract will best suite the project.
o Think about every sentence included in the contract, why it is there and whether it is necessary.
o Clearly identify in the contract every operation that the contractor must accomplish to complete the job.
o Use standard list of definitions, and always use the same defined word consistently.
o Clearly identify who will be responsible for material delays.
o Analyze all potential bidders before preparing a bid slate.
o Carefully analyze contractors’ technical proposal.
o Seriously question the contractors’ excessively low bid.
o If you are forced to accept a low-ball contractor, anticipate a claim and work on it from the beginning.
o Be reasonable when analyzing the contractors’ complaints about changes and omissions.
o Appreciate the contractors’ right to perform the contract in any fashion he deems appropriate.
o Understand how many factors can affect a contract and delay and disrupt the work.
o Keep strict control of: progress reports, daily meetings, schedule revisions, cost estimates, change orders and their justifications, correspondence.

Some do’s and don’ts of negotiations
You can find many great books about negotiating in business situations, but allow us to save you a bit of trouble by consolidating some important information. All the how-to books contain some very basic rules that are true in every negotiation. The following lists present these basics that you can use as a checklist before you begin your negotiations. First up, the don’ts of business negotiations:

Don’t say yes to a proposal the first time you hear it. Even if the proposal is too good to be true — especially if it seems too good to be true — wait and hear it again before making your final decision. The other party may be testing the waters to gauge how desperate you are for this deal.
Don’t be the first to name a price. Always try to get the other party to initiate the talk so that you gain important information that will help you negotiate more effectively.
Don’t negotiate with yourself. Some people, faced with silence after an offer, feel the need to fill the space with chatter. Often, they end up raising their price or inadvertently justifying the other party’s point of view. At that point, they may as well end the negotiations, because they’ve lost any power they may have had.
Don’t be afraid to say no. Remember that the opposite of no is yes. In a negotiation, there’s really nothing in the middle between yes and no. So, if you’re not happy with something you hear, just say no. Doing so forces the other side to possibly reconsider and present the idea in a different way that may be more acceptable to you.
Don’t be intimidated. Everything in business is negotiable, even if you’re dealing with writing in contract form. Don’t be intimidated by professional-looking documents with “iron-clad” terms.
Don’t trust the other party’s actions. If the other party arrives late to the negotiation or appears disinterested, don’t assume that this action reflects a lack of interest. The other party just wants you to think that.

Don’t talk about the deal or the negotiation in seemingly empty offices,
hallways, restrooms, or elevators, and definitely not on airplanes.
You
just never know who’s listening.

Now that you know what not to do, here are a few things to do in every
negotiation:
Do try to hold the negotiation at your site or at a neutral site. Going to the other party’s office puts you at a disadvantage, because your opponent will be more comfortable and will also have the power to control your level of comfort in the room to his or her advantage.
Do deal only with the person who can make the decision. When you buy a car, the salesperson may claim that she must talk with her manager first. That move only gives the two of them a chance to renegotiate the deal. Control the negotiation by making a deal only with the person who can say yes or no.
Do control your temper and emotions. If you can’t control yourself, let someone else do the negotiating for you. Yelling and screaming never results in a good deal.

Think of negotiation as a game — a game you can win if you prepare for it, practice, and define some specific, achievable outcomes that will offer all parties to the negotiation a win-win solution.

สมัยที่ยังไม่มีคอมพิวเตอร์มาช่วยในการทำงานเอกสารทั่วไป เรามักใช้หนังสือรับส่งเป็น ส่วนช่วยบันทึกการเข้าออก เรื่องราว วันที่รับ-ส่ง ผ้รับ-ผู้ส่ง ความต้องการที่จะให้ตอบ หนังสือรับ-ส่ง เคยมีบทบาทมากในการทำงาน และการติดตามงานเอกสางานของ เจ้าของงานหรือผู้ว่าจ้าง กับ ผู้รับจ้างหรือผู้รับเหมา กรณีการไม่ตอบและการติดตาม ทวงถาม หลังจาก 15 วันไปแล้ว หรือ ตามที่กำหนดกันไว้ ใน วิธีการปฏิบัติการงานเอกสารของโครงการ (Project Correspondence Procedures), ในหลายลักษณะงานที่ใช้ โปรแกรมสำเร็จรูป ในการออกเอกสารต่างๆ หมายเลขเอกสาร การติดตาม หรือหมายเหตุต่างๆ ของเอกสารทำได้ง่ายรวดเร็วและมีระบบในการจัดเรียงข้อมูล-แจ้งเตือน เรื่องราวต่างๆ ที่จะติดตาม รวมทั้งการทำรายงานให้แต่ละภาคส่วนนำไปใช้ในการติดตามด้วย แต่งานก่อสร้างโดยทั่วไป การออกจดหมายหรือเอกสาร มักใช้งาน word และเก็บสมุดรับส่งไว้ใน งานตารางหรือ excel ข้อมูลในสมุดรับส่งหรือ Correspondence Logs ควรบันทึกอะไรไว้บ้าง ขึ้นอยู่กับ มาตรการการติดตามหรือ วิธีการทางเอกสาร, ตัวอย่างข้อมูลเบื้องต้น ที่ควรจะบันทึก

  • วันที่ของเอกสาร – ควรบันทึกเป็นระบบ วันที่ของ คอมพิวเตอร์ เพื่อจะได้ไม่มีปัญหาในการจัดเรียง
  • วันที่ส่งหรือรับ – เพื่อให้รู้ว่า ควรจะตอบกลับเมื่อใด กรณีมีความล่าช้าในการรับส่ง
  • หมายเลขเอกสาร- ควรมีการรับรู้ทั้ง 2 ฝ่าย กรณีโครงการขนาดใหญ่ เช่น TTCL/PPTAR-L-008
  • หัวเรื่อง Subject ใช้ตามหัวเรื่องเอกสาร หรือหัวเรื่องย่อยสำหรับงานส่งเอกสารทั่วไป
  • ส่วนงาน หรือ พท. บางโครงการอาจหลายส่วนงาน เช่น Safety, QA/QC, Planning, QS and etc., หรือ พท. เช่น OSBL / ISBL
  • เพื่อ for Approval, Comment, Information หรือ อื่นๆ ควรใช้ อักษรย่อ เช่น FA-for approval, FI-for information
  • รายละเอียดย่อ – ผู้ออกจดหมายหรือเอกสาร ควรมีโน๊ตให้ผู้บันทึก
    เอกสารแนบ ส่วนนี้บันทึกไว้พอให้เข้าใจว่ามีอะรบ้าง
  • ชื่อผู้รับ – ชื่อผู้รับ เช่น ผู้จัดการโรงงาน หรือผู้จัดการโครงการที่จดหมายอ้างถึง
  • ชื่อผู้ส่ง - ชื่อผู้ลงนามในเอกสาร อาจต้องเพิ่มช่อง ผู้ทำเอกสาร กรณีมีหลายส่วนงาน แต่ผู้ลงนามคนเดียว หรืออาจระบุไว้ ตรงส่วนงาน ก้อได้
  • หมายเลขเอกสารตอบกลับ – อาจมีเอกสารตอบกลับมาก กรณีเรื่องราวที่มีเงื่อนไขและสลับซับซ้อน
  • วันที่เอกสารตอบกลับ – กรณีมีเอกสารตอบกลับหลายฉบับ จะมีความยุ่งยากในการจัดเรียง
  • หมายเหตุ, บันทึกส่วนนี้ จะเน้นถึงการติดตามหรือข้อมูลเพิ่มเติม
    เกี่ยวข้อง Concerned to Cost / Time Impact หรือส่วนงานอื่นที่เกี่ยวข้อง

โปรแกรมที่จะใช้ ทำ หนังสือรับส่ง ควรเป็น โปรแกรมตาราง ที่สมามารถจัดเรียงข้อมูลได้ เช่น Lotus, Excel หรืออื่นๆ การจัดเรียง ที่ได้ผลมาจากการใส่ข้อมูลที่เป็นระบบ เช่น วันที่, ข้อมูลมีการเว้นวรรคหน้า หรือ ความเหมือน การใช้ตัวย่อ แต่ที่ลืมไม่ได้ เลยคือ ความถูกต้องหรือข้อเท็จจริง เอกสารบางฉบับ ส่งเพื่อข้ออนุมัติ แต่ถ้า บันทึกไว้ว่า FI มันก้อจะเพื่อการรับรู้อยู่แค่นั้น รอแล้วรอเล่า เฝ้าแต่รอ ก้อไม่มีการตอบกลับ ครบเวลาแล้ว ไม่ติดตาม เสาสร้างไม่ได้ แล้วหลังคาจะเสร็จได้อย่างไร รอฝนพรำลงมา จึงรู้ว่า ขาดความต่อเนื่องในการติดตาม

ขาดระบบประเมินผล สร้างปัญหาคอรัปชั่น

  • การขาดระบบประเมินผลที่ดี นอกจากทำให้เกิดวัฒนธรรมที่เลวร้ายในองค์กรแล้ว ยังเกิดปัญหาการคอรัปชั่น ในทุกๆ ระดับชั้นอีกด้วย ซึ่งปัญหาคอรัปชั่นไม่ใช่เกิดเฉพาะส่วนราชการแต่แพร่ขยายไปจนเป็นปัญหาของสังคมประเทศชาติไปแล้ว จากโพลที่ให้ดัชนีว่า ผู้คนในสังคมไม่แคร์อะไรกับปัญหาคอรัปชั่น ขอให้ตัวเองมีกินมีใช้บ้าง มีงานทำก้อเพียงพอแล้ว การนับถือคนมีเงิน โดยไม่สนใจว่าเงินได้มาจากไหน ซึ่งมีเปอร์เซ็น สูงขึ้นทุกปี ปัญหาทุจริต-ไม่โปร่งใสของบริษัทใหญ่ๆ ทำลายเศรษฐกิจโลก โดยลุกลามจากอเมริกา จนเกิดปัญหาไปทั้งโลกขณะนี้ ...

    ... ความไม่สนใจว่า องค์กรจะขาดทุนหรือกำไร อย่างไร มีส่วนสำคัญให้เกิดการคอรัปชั่นในทุกระดับ มีข้อมูลเชิงเปรียบเทียบว่า ในบริษัทใหญ่ๆ หุ้นตกเพียงเล็กน้อย ทำให้มูลค่าของเงินผู้ถือหุ้นใหญ่(เจ้าของ) หายไปทันทีวันละหลายร้อยล้าน หรืออาจถึงพันล้าน ดังนั้นงานส่วนที่เป็นการผลิตหรือสร้างรายได้ จะขาดทุนหรือกำไร จึงไม่ได้รับการสนใจมากนัก ซึ่งเป็นช่องของตลาดทุนที่ขาดการตรวจสอบและการใส่ใจเรื่องบริษัทภิบาล ที่ควรจะเป็น ...
    ... ปัญหาการตรวจสอบและระบุว่ามีการคอรัปชั่นนั้น ทำได้ยาก เพราะจำเป็นต้องมีความชัดเจน ในระดับชาติ การลงโทษ ทำได้กับราชการชั้นผู้น้อยเท่านั้น แต่นักการเมืองหรือข้าราชการระดับสูง คดีหมดอายุความ ไปเกือบทั้งหมด ดังนั้นข้อสังเกตุ ที่จะกล่าวต่อไปนี้ ยังคงเป็นข้อสังเกตุ ว่ามีความเป็นไปได้เพียงใด เพราะการระบุให้ชัดเจนต้องมีการตรวจสอบ และเป็นบางส่วนเท่านั้น - ข้อมูลจึงมีชั้นความลับ สำหรับผู้สนใจจริงๆเท่านั้น ในช่องว่างด้านล่างมีตัวหนังสืออยู่ -
  • การจ้างงานราคาสูง ทั้งๆที่มีผู้เสนองานต่ำกว่า ผู้ว่าจ้างได้รับเงินจากผู้รับจ้าง - โครงการเป็นเงินกู้ของบริษัท
  • การรับจ้างงานในราคาต่ำกว่าความจริง ผู้รับจ้างได้รับเงินจากผู้ว่าจ้าง - เงินขาดทุนเป็นเงินของบริษัท
  • การเอื้ออำนวยแรงงานและเครื่องจักรที่เกินกว่าความต้องการ หรือการเร่งรัดงานให้โดยไม่ได้รับค่าตอบแทน ผู้รับจ้างได้รับเงินจากผู้ว่าจ้าง - เงินขาดทุนเป็นเงินของบริษัท

การทำธุรกิจนั้นต่างกับองค์กรเพื่อการกุศลซึ่งมีความต้องการผลกำไร และผลประกอบการที่เกิดผลประโยชน์ต่อองค์กร และผู้ถือหุ้น ในกรณีที่เป็นบริษัทมหาชน เป็นเรื่องที่ผิดปกติ ถ้าคนที่อยู่ในองค์กรมีวัฒนธรรมที่ไม่ได้มองถึงการขาดทุนหรือกำไร และจะผิดปกติมากกรณีที่ ผู้บริหารที่ทำงานขาดประสิทธิผล ทำให้โครงการขาดทุนมหาศาล กลับได้รับการสนับสนุนให้ดูแลโครงการขนาดใหญ่มีมูลค่ามากขึ้น เพื่อไปสร้างปัญหาการขาดทุนเพิ่มขึ้น หรือเป็นการแก้มือแบบนั้น การบริหารงานที่จะเข้าไปถึง ประสิทธิผล ย่อมมีระบบการวางแผนและการควบคุมที่ดี เพื่อเข้าไปสู่เป้าหมายที่ตั้งไว้ ในระบบงานก่อสร้างโดยทั่วไป ก้อจะมีระบบการทำแผนต้นทุน และวางเป้าทางการเงินไว้ ซึ่งเป็นกรอบใหญ่ ที่จะมีแผนงานย่อยมาลองรับ แผนการก่อสร้าง และแผนการเงิน ที่วางสอดคล้องกับแผนงานหลักของโครงการ เพื่อให้โครงการที่รับมาดำเนินการแล้วเสร็จได้ตามกำหนดโดยมีผลการประกอบการตามที่มุ่งหวังไว้ การวางแผนแรงงาน-เครื่องจักรและวัสดุ ซึ่งต้องจัดเตรียมให้สอดคล้องกันด้วย เมื่อมีแผนงานหลักต่างๆ ที่ชัดเจนแล้ว การควบคุมส่วนงานย่อยต่างๆ ซึ่งมีความจำเป็นต้องมีแผนงานย่อย และการควบคุมค่าใช้จ่าย รวมถึงความก้าวหน้าของผลงานย่อยที่จะต้องสอดรับกันด้วย

หลักง่ายๆในการดำเนินการเพื่อไปสู่เป้าหมาย คือ การมีแผนงานที่ดี การติดตามประเมินผล และการควบคุมที่ดี ดังนี้แล้ว การประเมินผลจึงเป็นส่วนสำคัญหลักอย่างหนึ่งในการทำงานให้เข้าไปสู่เป้าหมายที่ต้องการได้ ถ้าบริษัทหรือองค์กรธุรกิจใดไม่มีระบบการประเมินผลการทำงานของแต่ละภาคส่วนแล้ว อาจก่อให้เกิดวัฒนธรรมองค์กรที่เลวร้าย จนเป็นผลเสียกับบริษัทและผู้ถือหุ้นได้
